ELAINE LAW SOH YING
Elaine Law, a Partner of the Firm graduated with Bachelor of Laws (Hons) and Master of Laws (in International Commercial Law) from University of Leicester, UK. She obtained her Certificate in Legal Practice (CLP) in 2002.
She was called to the Malaysian Bar on 4th September, 2003 and thereafter, commenced her legal practice with a reputable law firm in Kuala Lumpur in the litigation department, where she handled litigation portfolio until mid-2006. She then moved to corporate practice since mid-2006 and joined the corporate and commercial department in another reputable law firm in Kuala Lumpur for more than 14 years, prior to joining the Firm.
Elaine Law’s areas of practice encompass corporate and commercial, personal data protection and intellectual property.
She has been involved in initial public offerings (IPOs), legal due diligence exercise, acquisition of companies and businesses, advising both multinational and domestic companies on various commercial agreements (including joint venture arrangements, collaboration agreements, shareholders’ agreements, sale and supply agreements, distribution agreements, management agreements, etc.), and advising foreign companies in the setting up of business and establishments in Malaysia and foreign investment rules.
Her specific experience in various corporate exercises and transactions include:
- Acquisition of companies in Malaysia by foreign companies, including by company listed on the Catalist of Singapore Exchange (as Malaysian counsel)
- Acquisition of foreign companies by Malaysian companies
- Related party transaction involving acquisition of companies and debt settlement arrangement
- Subscription of shares, acquisition of assets and businesses, restructuring of shareholders and companies
- Joint venture agreements in various projects including for setting up an international school, oil & gas business and in project development
- Regularisation plan and reverse take-over of a public listed company in Malaysia
- IPO in Bursa Malaysia Securities Berhad
- IPO in Catalist of Singapore Exchange (as Malaysian counsel)
- Exempt offering to specific shareholders in Malaysia by Indonesian company seeking listing on the Indonesia Stock Exchange
- Exempt offering to specific shareholders in Malaysia by Australian company listed on the Australian Securities Exchange
- Independent advice circular in relation to take-over exercises
- Share grant plan and employees’ share option scheme
- Private placement, rights issue and bonus issue exercises
Elaine Law was a co-speaker with Bursa Malaysia and a corporate finance adviser at the talk on ‘The New Leap Market’ organized by the Malaysian Bar Council on 22nd October, 2018. She was also a co-contributor/author to the Private M&A (corporate module) for the Lexis Practical Guidance Malaysia in 2017.
She was involved in the drafting of the Code of Practice for legal services for compliance with the Personal Data Protection Act, and has also advised on personal data protection notice and policy for companies and businesses.
